1. Agreement

These Terms of Service (“Terms”) are a contract between you and Peak Lit Tech LLC (“Peak Lit,” “we,” “us”) for the Layaside personal budgeting application and website at https://layaside.com (the “Service”).

By creating an account or using Layaside, you agree to these Terms and to the Layaside Privacy Policy. If you do not agree, do not use the Service.

These Terms are only for Layaside. They do not cover Drelvo, PeopleOS, or other Peak Lit products.

2. What Layaside is

Layaside is a budgeting tool. It can show accounts, balances, and transactions (including data you connect through Plaid) and let you plan spending.

You must be able to form a contract (generally 18+ in the United States) and use Layaside only for your own lawful personal budgeting, or a household you are authorized to share.

Registration uses email and password. Keep your credentials confidential. You are responsible for activity on your account.

We may refuse, suspend, or close accounts that violate these Terms or create risk.

5. Plaid Link and bank connections

Optional bank connections use Plaid Link. You authorize Plaid and us to receive read-only Transactions and Balance-style account data as described in the Privacy Policy.

Before Link, we will present notice. You should also read Plaid’s end-user terms and privacy policy: https://plaid.com/legal/#end-user-privacy-policy. You can manage Plaid connections at https://my.plaid.com.

You can disconnect a linked Item in the Service (remove linked item). We are not responsible for your bank’s availability, Plaid’s availability, or inaccurate institution data.

Do not use Layaside to access an account you are not authorized to access.

6. Optional browser extension (Amazon order import)

Layaside may offer an optional browser extension that helps you import your own Amazon.com order history into your Layaside household for budgeting and matching to charges you already see in Layaside.

Misuse of Amazon services or of the extension (including unauthorized account access) is prohibited under these Terms.

7. Plaid Trial vs Production (honesty)

Today, Plaid access for Layaside is intended as Plaid Trial (limited Items; currently used with people David personally knows, not a general public bank-connect launch).

We may change limits, disable Link, or restrict new connections to stay within Plaid’s rules and our own risk limits.

8. Your content and acceptable use

You retain rights to content you enter. You grant us a limited license to host and display it to operate the Service (including household members you invite).

You will not: misuse the Service; probe or disrupt systems; reverse engineer except as allowed by law; scrape in a way that harms the Service; upload malware; impersonate others; or use Layaside for unlawful activity, fraud, or money movement we do not offer.

CSV export and similar tools are for your personal records, not for building a competing data service from our APIs.

9. Fees

Some features may require a paid Plus plan or trial billed by Stripe if [[STRIPE_BILLING_LIVE]]. Prices will be shown at checkout. Taxes may apply.

If you purchase through the Apple App Store later, Apple’s terms and billing apply to that purchase. Public App Store paid distribution is not enabled in this draft.

Unpaid or free use does not create a warranty.

10. Availability and changes

The Service is provided as-is. Features, including Plaid, hosting, and billing, may change, break, or stop. We may modify these Terms by posting an updated version on https://layaside.com/terms once that URL serves this text.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that balances or transactions are complete, current, or error-free. Always confirm numbers with your bank.

Some jurisdictions do not allow certain disclaimers. In those places, disclaimers apply to the fullest extent allowed.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAK LIT TECH LLC AND ITS MEMBERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.

Our total liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) US $50 if you have paid us nothing for Layaside, or (b) the fees you actually paid us for Layaside in the 12 months before the claim.

These caps are a fundamental part of the bargain. They do not limit liability that cannot be limited under Florida or other applicable law (for example certain personal-injury or statutory claims, if they apply).

13. Indemnity

You will defend and indemnify Peak Lit Tech LLC against claims arising from your misuse of the Service, your violation of these Terms, or your violation of law or third-party rights, including unauthorized access to a financial account.

14. Termination

You may stop using Layaside and request account deletion by emailing hello@peaklittech.com (see the Privacy Policy). We may suspend or terminate access immediately for risk, non-payment, or Terms violations. Sections that should survive (including 3, 11–13, 15) survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes that proceed in court is the state or federal courts located in Florida, unless law requires otherwise.

16. Miscellaneous

If a provision is unenforceable, the rest remains in effect. These Terms are the entire agreement for Layaside. You may not assign them without our consent; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver.
